In consideration for services provided by World Ramp, Incorporated, (hereinafter "World Ramp"), the subscriber agrees to the following terms and conditions: Accounts may not be transferred or used by or for anyone other than the subscriber. No more than one login session per account may be used at any one time by the subscriber. All persons under the age of 18 shall have a parent or guardian responsible for all activities of the subscriber. Subscriber agrees that the address shown below is his/her current address and phone number. Subscriber agrees to inform World Ramp of any changes to this address within seven (7) calendar days. World Ramp reserves the right to interrupt services as necessary to manage the network and systems. World Ramp cannot guarantee subscribers access during these interruptions or times of high demand usage or otherwise. Subscribers explicitly agree to comply with the Acceptable Use Policies of World Ramp and any other service accessed through World Ramp. Please read these policies BEFORE you apply for an online account at World Ramp. Attempts to gain unauthorized access to any computer system or the operational files of World Ramp is strictly prohibited and will result in termination of service. Offenders will be reported to the appropriate authorities. The subscriber is responsible for all actions and results of the use of their accounts. World Ramp specifically disclaims any responsibility for the accuracy or quality of information obtained through its service. World Ramp has no reason to believe that errors exist in any data or services furnished. If there are any such errors World Ramp has no liability for any direct, indirect, consequential, incidental or punitive damages. This includes loss of data resulting from delays, non-deliveries, misdeliveries or service interruption caused by negligence or errors or omissions. World Ramp makes no warranties of any kind, either expressed or implied, including but not limited to those of merchantability or fitness for a particular purpose. Any remaining potential liability is limited to the amount paid by the subscriber to World Ramp. The subscriber bears complete responsibility for use of World Ramp and agrees to hold World Ramp harmless for any loss, damage liability, or claims. Subscriber shall require its insurers, if any, to waive any rights of subrogation against World Ramp for any loss arising from this agreement. Notwithstanding any other provisions of this agreement, in no event shall World Ramp be liable to the subscriber, whether arising under contract, tort (including negligence, defamation, libel, or slander), strict liability, or otherwise, for loss of revenue, profits or use of capital, downtime of facilities, damages for failure to meet other contractual commitments or deadlines or for any special, incidental, or consequential loss or damage of any nature arising at anytime or from any causes whatsoever. Should litigation arise out of this Agreement, the subscriber agrees to pay all cost of litigation including reasonable attorneys fees. The parties agree the venue shall be limited to Orange County, Florida. World Ramp reserves the right to cancel services for any reason, including but not limited to nonpayment, without prior notice. Subscriber expressly grants permission for listing of his account and name in relevant directories. Subscriber expressly grants permission for disclosure of his account particulars and transactions by World Ramp as necessary to comply with legitimate law enforcement authorities. Payment is due ten (10) days after date of invoice in accord with the terms and conditions as set forth in Exhibit A - Fees and Costs, incorporated herein by reference. Accounts are in default if payment is not received within ten (10) days after date of invoice. Accounts in default are subject to a late payment charge of twenty five dollars ($25.00) and an interest charge of 1.5 % per month on the outstanding balance, and possible termination of service. A payment returned to World Ramp as insufficient or unpaid, is deemed to be a breach of this Agreement and subject to the above late charges, interest, and possible termination of service. All monies paid to World Ramp, in advance, for discounted services are non-refundable. Subscriber is responsible to pay reasonable expenses, including attorney and collection agency fees, incurred by World Ramp in enforcing the terms of this Agreement. Subscriber agrees to pay based on usage/hourly figures provided by World Ramp. Services provided to the subscriber by World Ramp may only be used for lawful purposes. Transmission or storage of any information, data or material in violation of any United States or state regulation or law is prohibited. This includes but is not limited to material protected by copyright, trade secret or any other United States or state law and regulation, threatening material or obscene material. The subscriber agrees to indemnify and hold harmless World Ramp from any claims resulting from the subscriber's use of the service which damages the subscriber or other parties.
